These Terms of Service ("Terms") govern your access to and use of FileUpload ("we", "us", "our"). By creating an account or using the service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 13 years old (or the minimum age in your jurisdiction) to use FileUpload. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.

2. Acceptable use

You agree not to use FileUpload to:

• Violate any law or the rights of others.
• Upload or transmit malware, viruses, or harmful code.
• Distribute spam or unsolicited communications.
• Infringe on intellectual property rights.
• Collect or transmit material that is unlawful, defamatory, harassing, or otherwise objectionable.
• Attempt to gain unauthorized access to the service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the service.

3. Your content

You retain all rights to the files and information you and your visitors upload through your upload links ("Your Content"). You grant us a limited license to host, store, and transmit Your Content solely to operate the service on your behalf. You are responsible for ensuring you have the necessary rights to collect, store, and share Your Content.

4. Subscriptions and billing

• Paid plans are billed in advance on a recurring basis (monthly or annually).
• Fees are non-refundable except where required by law.
• You can cancel at any time from the dashboard; cancellation takes effect at the end of the current billing period.
• We may change pricing with reasonable advance notice.

5. Plan limits

Each plan includes upload count, file size, link count, and integration limits. Exceeding plan limits may pause uploads on your account until you upgrade or the next billing period begins. We may impose reasonable rate limits to prevent abuse.

6. Termination

You may delete your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or extended inactivity. Upon termination, we may delete Your Content after a reasonable retention period.

7. Service availability

We aim for high availability but do not guarantee that the service will be uninterrupted or error-free. We may modify or discontinue features at any time.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FILEUPLOAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold FileUpload harmless from any claims, damages, or expenses arising from Your Content, your use of the service, or your violation of these Terms.

11. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts located in Delaware.

12. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
